Teaching Capital: Terms of Service

1. Scope of Services Teaching Capital provides professional development (PD) through several channels:

PD Sprints: Access to proprietary digital materials (Google Slides/Docs).

Institutional Consulting: Remote and in-person sessions for schools/districts.

Digital Products: Downloadable PD Resources, Case Studies, and Project-Based PDs.

Online Courses & Cohorts: Managed learning environments for groups of educators.
2. Intellectual Property & Usage License All content provided by Teaching Capital, including frameworks, methodologies, and training strategies, is the exclusive property of Teaching Capital.

Limited License: Paying users are granted a non-exclusive license to copy and modify resources for internal institutional use only at the specific site or campus for which access was purchased.

Prohibited Acts: You may not freely share, resell, or distribute these materials to schools or institutions that are not paying for access. Training faculty at your specific site is permitted; training external parties is a breach of this license.

Custom Deliverables: If we create custom curriculum for your school, Teaching Capital retains ownership of the underlying "Method" and "Framework," while the school owns the specific "Deliverable" (the final product).
3. Payments & Financial Terms

Upfront Payment: Payment is generally required in full before the commencement of consulting or PD sessions. In specific cases, a 50/50 split (half before, half after) may be authorized at our discretion.

Late Payments: We reserve the right to suspend services or terminate the relationship if payments are not made on schedule.
4. Refund Policy

Digital Downloads: No refunds once the product has been downloaded.

PD Sprints: We offer a 30-day money-back guarantee. If a refund is issued, your license to use the sprint materials is immediately revoked, and you must cease all use and delete all copies of those materials.

Consulting: Refunds for scheduled sessions are subject to the specific service agreement signed at the time of booking.
5. Professional Disclaimer Teaching Capital provides knowledge and educational tools based on the "Science of Learning." Because educational outcomes depend heavily on your specific implementation, environment, and student body, we do not guarantee specific results or student performance metrics.
6. Termination of Relationship We reserve the right to terminate any client relationship at any time for any reason, including but not limited to unprofessional conduct, non-payment, or breach of our Intellectual Property terms.
7. Dispute Resolution & Arbitration All legal disputes arising from these Terms will be settled in San Diego County, California. Both parties agree to resolve disputes through binding arbitration rather than in court. The prevailing party shall be entitled to recover reasonable attorney’s fees.
